This Vendor Agreement (“Agreement”) is entered into between [Randoms], a [Nigerian] company with its principal place of business at [Abuja] (“Randoms”), and any individual or business that creates an account on the Randoms online platform (“Vendor”).

1. ACCEPTANCE OF AGREEMENT Vendor agrees to be bound by the terms and conditions of this Agreement by completing the registration process on the Randoms platform and continuing to use the platform as a vendor.

2. PRODUCT LISTINGS Vendor agrees to list only products that they have the right to sell and that are in compliance with all applicable laws and regulations. Randoms reserves the right to remove any product listings that violate this Agreement or any related policies.

3. PRICING AND PAYMENTS Vendor agrees to set prices for their products in accordance with Randoms’ pricing guidelines. Vendor will receive payment for sales made through the platform, less any applicable fees, within [insert payment time period] after the sale is complete.

4. SHIPPING AND DELIVERY Vendor is responsible for setting shipping and delivery dates for their products. Randoms will oversee issues related to shipping and delivery that cannot be resolved with the vendor. Vendor must follow Randoms’ shipping and returns policies and provide refunds or exchanges within 14 days of receiving returned products.

5. PRODUCT IMAGES AND DESCRIPTIONS Vendor must upload high-quality product images and provide accurate and complete product descriptions in accordance with Randoms’ policies.

6. PROHIBITED ITEMS Vendor may not list or sell prohibited items on the Randoms platform, including but not limited to illegal products, counterfeit products, products that infringe on the intellectual property rights of others, and stolen goods.

7. TERM AND TERMINATION This Agreement will remain in effect until terminated by either party. Randoms may terminate this Agreement at any time for any reason, with or without notice. Vendor may terminate this Agreement by notifying Randoms in writing.

8. CONFIDENTIALITY Vendor agrees to keep all confidential information related to Randoms and its customers confidential and to use such information only as necessary to perform their obligations under this Agreement.

9. INTELLECTUAL PROPERTY Vendor acknowledges that Randoms owns all intellectual property related to the platform, including but not limited to trademarks, logos, and software. Vendor may not use any Randoms intellectual property without prior written consent.

10. REPRESENTATIONS AND WARRANTIES Vendor represents and warrants that they have the legal right and authority to enter into this Agreement and perform their obligations hereunder.

11. LIMITATION OF LIABILITY Randoms will not be liable for any damages arising out of or related to this Agreement, whether in contract, tort, or otherwise, including but not limited to lost profits or business interruption.

12. GOVERNING LAW AND JURISDICTION This Agreement will be governed by and construed in accordance with the laws of [insert jurisdiction]. Any disputes arising out of or related to this Agreement will be resolved exclusively in the courts of [insert jurisdiction].

13. MODIFICATION OF AGREEMENT Randoms may modify this Agreement or any related policies at any time by posting the modified terms on the platform. Vendor’s continued use of the platform after such modifications constitutes acceptance of the modified terms.
